Today's entry in the Commercial Register at the Frankfurt/Main local court concludes the conversion process that transforms DVB Bank AG from a public limited company under German law (Aktiengesellschaft) into a European public limited-liability company (Societas Europaea – "SE"). As from today, the Transport Finance specialist trades under the name of DVB Bank SE. Its new registration number is HRB 83980.

Wolfgang F. Driese, CEO and Chairman of the Board of Managing Directors of DVB Bank SE, hailed the change in legal form as a "key milestone" for the Bank: "We are one of the first German companies to make use of this new legal form. Amongst the banks, we have even taken a pioneering role. The new legal form sharpens the Bank's international profile vis-à-vis our clients and business partners. At the same time, it allows our European staff to assume a more active role in co-determination, and on the Supervisory Board. Finally, the conversion has permitted us to significantly streamline the legal structure of the DVB Group, simplifying our internal processes and external reporting to regulatory authorities."

The Annual General Meeting on 11 June 2008 passed a resolution approving the corporate restructuring into a European Company, carried out through a merger of Rotterdam-based DVB Bank N.V. into DVB Bank AG. The full conversion process took place over a period of one year. A European employee representation has been constituted, comprising 13 representatives from Germany, the UK, the Netherlands, Norway, and Greece. The Supervisory Board of DVB Bank SE consists of an unchanged nine members, with six shareholder representatives and three employee representatives.
