Share capital increase paves way for further expansion of DVB Bank
Based on decisions by the Board of Managing Directors and the Supervisory Board of DVB Bank AG, DVB's share capital has been increased by €21,729,904.95, from €77,893,068.42 to €99,622,973.37, via the issue of 850,000 new notional no-par value bearer shares ("unit shares") against cash. DZ BANK AG Deutsche Zentral-Genossenschaftsbank, Frankfurt/Main, has underwritten the new shares, with the obligation to offer them to shareholders of DVB Bank AG for indirect subscription, between 1 November 2005 and 14 November 2005, at a subscription ratio of 2:7 and at an issuing price of €124 per share. The registration of the capital increase in the Commercial Register took place on 19 October 2005. Trading in the new shares on the Frankfurt Stock Exchange is expected to commence in mid-November 2005. The new shares will carry full dividend rights with effect from 1 January 2005. Wolfgang F. Driese, Chairman of the Board of Managing Directors of DVB Bank AG, commented: "The increase in the Bank's share capital is synonymous with our plans to strengthen our premier position in what continues to be an exceedingly buoyant, albeit highly competitive, international transport finance market. We are determined to capitalise on further profitable growth opportunities and, as a result of this measure, we will also improve our capital ratios which have inevitably decreased in line with the strengthening of the US Dollar, the principal currency in relation to our global transport finance operations." Additional details regarding the share capital increase have been disclosed via ad hoc messages on 7 September 2005, 14 October 2005 and 27 October 2005. These ad hoc messages are available via the internet on the home page of DVB Bank AG (www.dvbbank.com). The Securities Prospectus (Wertpapierprospekt) will be available for download on DVB's website immediately after approval is received from the Federal Financial Supervisory Authority ("BaFin") (in German only). Post approval from BaFin, printed copies of the Securities Prospectus will also be available for distribution, free of charge, at DVB Bank AG and at DZ BANK AG (in German only) and the offer will be published in the electronic Gazette of the Federal Republic (elektronischer Bundesanzeiger) and in the German business paper "Börsen-Zeitung".
